	* There may be files belonging to this series that have been registered in sequences of 'closed ' company files. It is likely that sequences of closed company files ceased c. 1994. Further investigation of series of closed company files where file closure date is later than 1994 is necessary. [See series 2984, 20338, 20339, 20565, 21463, and 18860 - this list is not exhaustive].

	A number of files that make up this series were initially created as part of several earlier series of regionally registered companies files [including incorporated societies, industrial and provident societies, and charitable trusts], but have been top-numbered and amalgamated into Series 21462 - hence the holdings dates pre-dating the series dates.

	Some files are for companies/entities that were initially registered in other areas (e.g. Christchurch, Dunedin, Wellington, Hamilton), and the file/company registration later transferred to the Auckland registry.

	Building societies, contributory mortgage brokers, credit unions, friendly societies, overseas issuers, participatory securities, superannuation schemes, and unit trusts were administered from Wellington in separate registries until c.2002 when the files were transferred to Auckland. At this point, these file types were assigned new numbers and were registered in the national companies register.

	Accession A1607 is made up of files for companies and incorporated societies that were struck off the register in 1996 and 1997.  The accession includes 18 files that have closing dates ranging between 1998 and 2002, which appear to have been included as part of this transfer in error.

	Accession A1639 comprises files for companies and incorporated societies that were struck off the register in 1998 and 1999.

	Accession A1718 comprises files for companies, incorporated societies, charitable trusts, and industrial and provident societies that were struck off the register in 2000 - 2002. The place of initial registration is included in brackets after each company name in the list.

	The series comprised national files for companies, incorporated societies, charitable trusts, and industrial and provident societies which were registered nationally in Wellington from 1984 onwards. From c.2002 key documents for building societies, contributory mortgage brokers, credit unions, friendly societies, overseas issuers, participatory securities, superannuation schemes, and unit trusts were also included in this series. Prior to this date, these entity types were administered by individual registries in Wellington.

	All physical companies, incorporated societies, charitable trusts, and industrial and provident society files in this series documented entities that had been struck off the Companies Register and had ceased to operate before June 2002.  When an entity was struck off the register the action was published in the New Zealand Gazette.

	The physical files for closed companies and other entities dating until 2002, and held at Archives New Zealand may contain the following information:

	

		Documents relating to the entities initial registration, including the certificate of incorporation
	

		Memorandum of association detailing the purposes/objectives of the business
	

		Articles of association detailing company shares, directors, meetings etc
	

		Annual returns
	

		Details of dissolution
	

		Details of any change of name


	From 1994 entity numbers for all new companies, incorporated societies, charitable trusts, and industrial and provident society files were generated by a national electronic companies register. Registration numbers for existing files were backcaptured into the electronic register unchanged. Between 1994 - 2000 papers on physical files were indexed on the electronic register. Between 2000 - 2002 physical papers dating from 1993 that related to current entities, were selectively scanned and added to the electronic register (1)(2)(3).

	Paper records for entities that did not meet special record criteria e.g. prominent or iwi-based companies, that were current as at May 2002 were subsequently destroyed under the disposal authority DA377.  From this point the use of paper records ceased, and records were only available digitally, with the exception of special record categories as outlined in DA377 (3).

	Some companies changed their names during their existence. In the series listing companies' old names were put in square brackets along with their latest names. Some files were marked with "Cur" and "Obs"  which were short for Current and Obsolete.
