Establishment
KiwiRail Holdings Limited was established pursuant to section 6 of the New Zealand Railways Corporation Restructuring Act 1990, and the KiwiRail Holdings Limited Vesting Order 2012. It was incorporated under the Companies Act 1993 on 6 December 20121 and commenced operations on 1 January 2013.
KiwiRail took over responsibility for the railway operations of the New Zealand Railways Corporation (which operated under the trading name KiwiRail). The Corporation continued to retain and manage railway land (including railway corridors).
Functions and Responsibilities
KiwiRail Holdings Limited was a limited liability company incorporated under the Companies Act 1993, and a state-owned enterprise under the State-Owned Enterprises Act 1986.
The principal object of KiwiRail under the State-Owned Enterprises Act was to operate as a successful, efficient, and profitable business, act as a good employer, and to maintain a sense of social responsibility in the interests of the community in which it operated.2
KiwiRail's business activities were:
- providing end-to-end transport supply chain services, connecting customers with the global marketplace;
- owning and operating the national rail network;
- providing for the transport of bulk and consolidated freight;
- providing ferry services for rail and road freight and for passengers and their vehicles;
- supporting rail passenger services in metropolitan areas and providing long-distance services for both domestic and tourist markets; and
- managing and developing property holdings for rail operations and appropriate third-party land use.3
Structure
Operations
KiwiRail was divided into multiple business units:
- KiwiRail Freight - Long distance transport of domestic goods between major centres; moving import/export goods to and from major ports; and transporting of bulk commodities such as coal, milk, logs and steel.4
- KiwiRail Scenic Trains - Passenger services operated through the Northern Explorer (Auckland to Wellington), the Coastal Pacific (Picton to Christchurch), Tranz Alpine (Christchurch to Greymouth), and the Capital Connection (commuter service between Palmerston North and Wellington).5
- The Interislander - Cook Strait ferry service operating between Wellington and Picton.6
- Infrastructure and Engineering - The Infrastructure team was responsible for maintaining 4,000 kms of rail corridor, bridges, tunnels, viaducts, overhead wires, signals and level crossings. It was also responsible for all train movements on the network managed by the National Train Control Centre based in Wellington. It was also responsible for the design, installation and upgrade of level crossing warning systems.7
Management
KiwiRail was led by the Chief Executive, who was responsible to the Board of Directors for the day-to-day management of the Group. The Executive Team also consisted of:
- Chief Financial Officer;
- Group General Manager Operations;
- Group General Manager Network Services;
- Group General Manager Sales and Commercial;
- Group General Manager Asset and Management and Investment;
- Group General Manager Human Resources;
- Group General Manager Zero harm;
- Group General Manager Rolling Stock and Asset Services.8
Governance9
KiwiRail was governed by a Board of Directors who were appointed by the shareholding Ministers, the Ministers of Finance and State-Owned Enterprises, and was accountable to them for the performance of the company.
The role of the Board was to guide the strategic direction of KiwiRail and to direct and oversee management. It established objectives and set strategies to achieve those objectives.
The Board, in the context of the approved policy, risk and compliance framework within which the KiwiRail operated, monitored the performance of management and the Group against those strategies. The Board delegated the day–to–day management of the Group to the Chief Executive.
There were four committees of the Board:
- Audit, Finance and Risk Committee: Assisted the Board with the discharge of its responsibilities in relation to audit, finance, and risk management. The committee monitors the roles, responsibilities and performance of management and auditors in financial reporting, business risk management systems and internal control systems.
- Safety, Health and Human Resources Committee: Advised the Board on compliance with all safety licenses, the Health and Safety at Work Act, and legal safety requirements including effective systems, training, resources and processes for the protection of workers and others who interact with KiwiRail. The committee is also responsible for human resources and environmental oversight.
- Infrastructure and Asset Management Committee: Advised the Board on the performance and management of, and risks associated with KiwiRail's material assets.
- Remuneration Committee: Assisted the Board in establishing remuneration strategies and policies for the Chief Executive and his/her direct reports that supported an increase in productivity and the retention of staff.
An advisory committee of external consultants was also set up to advise the Board and management on the company’s property strategy and planning. The Property Committee was chaired by a member of the Board, and consisted of 3 others who were experienced professionals in the property industry but not members of the KiwiRail Board.
