Establishment

Kordia Group Limited was established as a state-owned enterprise known as Transmission Holdings Limited (THL) on 31 December 2003, pursuant to the Television New Zealand (Separation of Transmission Business) Order 2003 (SR 2003/323) and the Television New Zealand Act 2003.

THL was registered as a limited liability company on 4 July 2002 as a subsidiary of Television New Zealand Limited.1

THL was renamed Kordia Group Limited on 17 November 2006.2

Functions and Responsibilities

Kordia Group Limited’s principal objective, as set out in Part 1 of the State-Owned Enterprises Act 1986, was to operate as a successful business, and to be:

  • as profitable and efficient as comparable businesses that are not owned by the Crown; and
  • a good employer; and
  • an organisation that exhibits a sense of social responsibility by having regard to the interests of the community in which it operates and by endeavouring to accommodate or encourage these when able to do so.

Kordia was a mission-critical technology business providing network and technology solutions that enabled customers with specialised communications needs to succeed.

The scope of functions and activities undertaken by Kordia included the:

  • Ownership, maintenance and operation of telecommunications, broadcast and private networks in New Zealand and Australia.
  • Provision of a range of services, applications and content over its infrastructure.
  • Delivery of design, build, operation, and maintenance services to telecommunications, broadcast and private companies in New Zealand, Australia and internationally.
  • Provision of consultancy services in the technology, media and telecommunications markets in New Zealand, Australia and internationally.
  • Provision of broadcasting, telecommunications and customised services both directly and indirectly to end users.3

Structure

Kordia Group Limited was a state-owned enterprise, owned by the Crown with the Minister of Finance and the Minister of State-Owned Enterprises joint shareholders.

Executive Leadership

Kordia had a Group Chief Executive Officer with responsibility across New Zealand and Australia, with an executive team comprising direct reports from both countries. In 2021, the executive team consisted of:

  • Group Chief Executive Officer;
  • Chief Financial Office;
  • General Manager, Kordia Solutions New Zealand;
  • Chief Sales and Marketing Officer - Cyber and Networks;
  • Chief Digital Officer;
  • Chief Operating Officer - Cyber and Networks;
  • Executive General Manager, Maritime and Infrastructure;
  • Executive General Manager, People and Culture;
  • Executive General Manager, Legal and Risk.4

Governance

Kordia was governed by a board of directors, consisting of between 2 and 9 directors.5 The board had oversight of 3 committees:

  • Audit and Risk Committee: assisted the board in fulfilling its responsibilities by providing recommendations, counsel and information concerning its accounting and reporting responsibilities under the Companies Act and related legislation. Its terms of reference also covered the role of internal audit and financial risk management.
  • People and Culture Committee: assisted the board in fulfilling its responsibilities by providing advice and recommendations regarding the appropriate levels of remuneration for executives.
  • Health and Safety Committee: supported the board to comply with its health and safety obligations and to achieve its health and safety goals.6
