This agency was created by Archives New Zealand to describe the records transferred to it by the office of the Registrar of Companies, Napier.
The position of Registrar of Companies, Napier, was created under the Joint-Stock Companies Act 1860. It is not clear exactly when the first registrar was appointed, but it was certainly between 1860 and 1863 [1]. The office was responsible for registration of companies, and later building societies, industrial and provident societies, incorporated societies, and charitable trusts, in the Hawkes Bay region [2].
The office appears to have been part of the Treasury Department until 1878, when the function of registration of companies passed to the Stamp Department [3]. Officials in district offices of the Land Transfer and Deeds Registration Department, which was part of the Stamp Department, became registrars of companies [3]. Registrars of companies remained part of the Stamp Department until 1 July 1950, when the Lands and Deeds Department transferred into the Department of Justice, becoming the Lands and Deeds Division [4]. In 1968 a review of the Companies Act recommended the creation of a Commercial Affairs Division in the Department of Justice that was responsible for both companies offices and official assignees. The new division was created in 1972, and the office of the Registrar of Companies in Napier became part of the Napier branch of the Commercial Affairs Division [5].
