Establishment
Meridian Energy Limited was established when the Electricity Corporation of New Zealand (ECNZ) was split into three separate and competing companies. As a state-owned enterprise, it was incorporated on 16 December 1998 and commenced operations on 1 April 1999. The company inherited various assets and liabilities from ECNZ.
Functions and ResponsibilitiesMeridian Energy’s scope of business activity was the generation of electricity (including the ownership and operation of related assets), the management of water related infrastructure, and the marketing, trading and retailing of energy and wider complementary and adjacent products and solutions primarily within New Zealand.
Meridian Energy’s main goal was to be the global reference company in renewable energy. This was based on three key strategies:
- value optimisation - making the best possible use of existing assets, systems and customer relationships;
- value growth - building more generation capacity and growing the customer base by offering products and services that deliver real value;
- value evolution - leveraging the company’s core expertise into new ideas and business opportunities.
To achieve these objectives Meridian Energy aimed to maximise long-term shareholder value by:
- seeking sustainable competitive advantage from excellence in generating electricity at optimal value through to meeting customer needs for energy and wider complementary products and solutions;
- actively developing and participating in competitive energy markets to provide customer-demanded products and services and to enable Meridian Energy to optimise its risk position;
- undertaking new investments that over their lives were a) aimed at yielding a positive risk related net present value and b) managed in a manner that maximised the commercial value of the business;
- undertaking prudent risk management in relation to its business activities;
- providing healthy and safe places of work for its people;
- minimising operating costs;
- building and maintaining relationships with Maori as a community stakeholder and in business;
- pursuing its commitment to the environment and the sustainable management and development of the natural, physical and human resources that were utilised in the business;
- taking such other strategic and operational measures as the Company considers appropriate to best protect and grow the value of the Crown’s investment in the Company.
Meridian Energy was committed to only generating electricity from renewable energy sources, with a focus on water and wind.
Structure
Meridian Energy Limited was governed by a Board of Directors. The Board consisted of up to eight non-executive directors who were appointed by the shareholding Ministers (the Minister of Finance and the Minister of State Owned Enterprises owned shares on behalf of the Crown), and was headed by a chairperson and a deputy chairperson.
The Board had two standing committees, an Audit and Risk Committee and a Remuneration and Human Resources Committee. It also established special purpose committees when required for particular issues.
Day-to-day management of Meridian Energy was delegated to the Chief Executive Officer. The Chief Executive headed an Executive Team that consisted of:
- General Manager, Business Development;
- General Manager, Renewable Development;
- General Manager, Culture and Change;
- General Manager, Markets and Production;
- General Manager, External Relations;
- General Manager, Retail;
- Chief Financial Officer.
Meridian Energy owned the following electricity generating assets:
- Waitaki Hydro Scheme;
- Manapouri Hydro Power Scheme;
- Benmore Hydro Power Station;
- Brooklyn Wind Turbine;
- Te Apiti Wind Farm;
- White Hill Wind Farm;
- Makara Wind Farm.
Meridian Energy also owned the following subsidiaries:
- Right House Limited - Established in 2007, Right House provided technical knowledge and products to make homes healthy and energy-efficient.
- Arc Innovations Limited - Formed in 2003, Arc Innovations provided advanced metre infrastructure technology and services.
- Powershop Limited - Allowed customers to buy electricity on-line.
- Whisper Tech Limited - Formed in 1995, Whisper Tech designed, developed, and implemented innovative on-grid and off-grid heat and power systems for international distribution.
- DamWatch Services Limited - Established in 1999, Damwatch specialised in dam safety advice and surveillance services.
- Energy for Industry Limited - Established as Meridian Solutions in 2000, Energy for Industry provided on-site energy and other utility services to industry.
- Meridian Energy USA Incorporated - Meridian Energy purchased Cleantech America in August 2009. Based in San Fransico, California, United States of America, Meridian Energy USA provided renewable electricity for sale to US utilities, municipalities and other customers, and operated the CalRENEW-1 Solar Farm (a photovoltaic solar facility). Cleantech was renamed Meridian Energy USA in May 2010.
